Vendor Agreement

1. Scope of This Agreement
This Vendor Agreement supplements and forms part of the bizzle.market Terms of Service. It applies to every seller (“Vendor”) who lists or sells products through bizzle.market, operated by [ENTITY NAME]. Where this Agreement and the Terms of Service conflict as to a vendor’s obligations, this Agreement controls.
2. Seller of Record
You, the Vendor, are the seller of record for every product you list on the Platform. bizzle.market is not the seller, manufacturer, or distributor of your products and does not take title to them at any point. You are solely responsible for all legal obligations that attach to being a seller of your products, including but not limited to consumer protection, product labelling, and product liability law in every jurisdiction you ship to.
3. Intellectual Property Indemnification
You represent and warrant that you own or have all necessary rights to sell every product you list, and that your listings (including images, descriptions, and branding) do not infringe any third party’s trademark, copyright, patent, or other intellectual property right. You agree to indemnify, defend, and hold harmless [ENTITY NAME] and bizzle.market against any claim, loss, damage, or expense (including reasonable legal fees) arising from an actual or alleged infringement caused by your listings or products.
4. Counterfeit and Prohibited Goods
You may not list or sell counterfeit, replica, stolen, or otherwise prohibited goods, including anything falling within the categories described in our Prohibited Items Policy. You are solely liable for any claim, fine, seizure, or other consequence arising from a counterfeit or prohibited item you listed, and bizzle.market disclaims all liability for such items to the fullest extent permitted by law. We reserve the right to remove any listing and suspend or terminate your vendor account at our discretion if we reasonably believe this section has been violated.
5. Tax Responsibility
You are solely responsible for determining, collecting, reporting, and remitting any sales tax, VAT, GST, customs duty, or other tax or levy owed in connection with your sales through the Platform. bizzle.market does not act as your tax agent and provides no tax advice; you should consult a qualified tax professional regarding your obligations in each jurisdiction you sell into.
6. Consumer Protection and Product Safety
You agree to comply with all applicable consumer protection, product safety, labelling, and recall obligations in every jurisdiction where your products are sold or shipped. You are solely responsible for any injury, loss, or damage caused by a defective or unsafe product you listed.
7. Commission and Payouts
Commission rates, payout timing, and fee terms are governed by Section 7 (Payments and Fees) of the Terms of Service and by the subscription plan you are enrolled in. This Agreement does not modify those terms.
8. Termination for Breach
We may suspend or terminate your vendor account immediately, without notice, if you breach this Agreement, including by listing prohibited or counterfeit items, infringing a third party’s intellectual property, or failing to meet your tax or consumer-protection obligations. Termination does not relieve you of liability for obligations that arose before termination, including indemnification obligations under Section 3.
